India’s Startup Registration Has Never Been Easier
India has made remarkable improvements in its ease of doing business over the past decade. What once required months of running between government offices can now be done largely online in 7-15 working days for most company types. This guide walks you through the most common structure for Indian startups: a Private Limited Company.
Step 1: Choose Your Company Structure
Most serious businesses choose between: Sole Proprietorship (easiest to set up, no separation between owner and business, unlimited personal liability — good for very small freelance/consulting operations), LLP (Limited Liability Partnership) (good for professional firms with partners, simpler compliance than Pvt Ltd), and Private Limited Company (separate legal entity, limited liability, ability to raise equity funding, preferred by investors — the right choice if you plan to scale or raise money).

Step 2: Get a Digital Signature Certificate (DSC)
Directors of the company need a DSC for filing documents electronically with the MCA (Ministry of Corporate Affairs). Cost: ₹1,000-₹2,000 per director. Time: 1-2 days. Apply through authorised DSC providers like eMudhra, Sify, or NSDL. You will need a passport-size photo, PAN, Aadhaar, and a self-attested copy of address proof.
Step 3: Apply for DIN (Director Identification Number)
Every director needs a DIN, which is applied for through the SPICe+ form (discussed below). First-time directors receive their DIN as part of the company incorporation process — you do not need to apply separately beforehand.
Step 4: Name Reservation via RUN or SPICe+
Your company name must be unique and follow MCA naming guidelines. You can check name availability on the MCA portal (mca.gov.in). The SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) form handles name reservation, DIN allotment, PAN, TAN, EPFO, ESIC, and bank account opening — all in one integrated form. This is the key form for company registration.
Step 5: File SPICe+, MOA, and AOA
Prepare your Memorandum of Association (MOA — states your company’s objects) and Articles of Association (AOA — internal rules). File SPICe+ on the MCA portal along with the MOA, AOA, DSC-signed documents, and identity/address proofs of all directors and subscribers. Government fee depends on your authorised capital — for ₹10 lakh authorised capital, the fee is approximately ₹2,000. Professional fees (CA/CS) typically run ₹7,000-₹20,000 depending on complexity.
Step 6: Certificate of Incorporation and PAN/TAN
If everything is in order, the Registrar of Companies issues your Certificate of Incorporation (CoI) within 3-7 working days, along with your CIN (Corporate Identity Number), PAN, and TAN. Your company now legally exists.
What Comes Next
Open a current bank account in the company’s name. Register for GST if your turnover will exceed thresholds. Comply with ROC annual filing requirements (AOC-4 and MGT-7 each year). Register with Startup India on startupindia.gov.in for tax benefits, easier IP registration, and access to government schemes — this is free and takes 2-3 days.
